Welcome to Nova Learning! We provide a fully managed platform that enables schools and education companies ("Partners") to offer mentorship programs to their students.
Before using our services, please carefully review these Terms of Service ("Terms"). By accessing our platform, you agree to these legally binding terms governing your use of our website, applications, and services.
1.1 Key Definitions
• "Content" Includes text, notifications, emails, videos, images, and audio made available through the Platform.
• "Individual Data" Refers to data linked to a User's use of our Services.
• "Instructor" Is a User (researcher, educator, or professional) providing mentorship to Students.
• "Program" Consists of sessions between a Student and a Mentor, delivered through a Partner.
• "Nova Learning," "we," "us," or "our" Refers to Nova Learning, Inc.
• "Partner" Is a school, education company, or organization that enrolls Students in our programs.
• "Student" Is an individual (typically middle school, high school, or college age) receiving mentorship through a Partner.
• "Terms" Refers to these Terms of Service, governing access and usage of the Platform.
• "User" Includes Partners, Students, and Mentors.
• "User Content" Means any Content submitted by a User.
• "Website" Refers to www.novalearninggroup.org
2. Acceptance of Terms
Before using our Services, ensure you have reviewed any updates to these Terms. If you do not agree, you must not use our Services.
By using our Services, you confirm that you are at least 18 years old, or at least 13 years old with parental or guardian consent obtained by the enrolling Partner. Partners are responsible for obtaining appropriate consent for Students under 18.
Our Services are available internationally. Partners are responsible for ensuring compliance with applicable laws in their jurisdiction.
2.1 Updates to Terms
We may revise these Terms at our discretion by posting a new version on our Website. The "Last Updated" date reflects the most recent revision. Continued use of our Services constitutes acceptance of the updated Terms.
3. Account Registration & Communications
3.1 Account Credentials
To access certain features, Users may be required to register an account and have Login Credentials. Users are responsible for maintaining the security of their Login Credentials. Notify us immediately if you suspect unauthorized use of your account. We are not liable for any loss due to unauthorized account access.
3.2 Account Information
During registration, Users must provide accurate information, including name, email, organization details, and payment details (if applicable). Keeping information up to date is mandatory.
3.3 Communications & Notifications
By using our Services, you agree to receive communications (emails, texts, push notifications) related to our Services. You may opt out of marketing emails by contacting partners@novalearninggroup.org
4. Our Services
Nova Learning provides Partners with a platform to deliver mentorship programs to their students. We facilitate program delivery but do not assume responsibility for the conduct of Users.
4.1 Partner Responsibilities
• Enrollment:Partners are responsible for enrolling Students in programs and ensuring appropriate parental consent for Students under 18.
• Fees & Payment: Partners pay applicable fees per the terms of their agreement with Nova Learning.
• Branding: Partners may use white-label branding options as agreed. Partners may not misrepresent Nova Learning's services or mentors.
• Student Support: Partners are responsible for communicating with families about program logistics and addressing non-program-related concerns.
4.2 Student Responsibilities:
Students must attend scheduled sessions and participate in good faith.
• Mentorship Sessions: A typical program is anywhere from 4 to 20 sessions conducted via video conferencing.
• Progress & Outcomes: Students may receive progress reports and, upon program completion, a portfolio piece, certificate, or other deliverable as defined by the program.
4.3 Mentor Responsibilities
• Registration & Approval: Mentors must submit a profile and undergo a screening process.
• Mentorship Sessions: Mentors must conduct scheduled sessions and provide necessary progress reports.
• Code of Conduct: Mentors must maintain professional conduct. Any inappropriate behavior, discrimination, or solicitation outside of the platform is strictly prohibited.
• Compensation: Mentors receive payments per their agreement with Nova Learning.
5. Acceptable Use & Prohibited Conduct
Users must use the Services only for lawful purposes. The following activities are strictly prohibited:
• Harassment, discrimination, or abusive behavior.
• Unauthorized sharing of User Content.
• Violating privacy or intellectual property rights.
• Using the Services for fraudulent activities.
• Circumventing security features.
• Uploading harmful or malicious software.
We reserve the right to suspend or terminate accounts engaging in prohibited conduct.
6. Privacy & Data Security
User data is governed by our Privacy Policy. While we implement security measures, no system is completely secure, and Users assume risk when sharing personal information.
7. Dispute Resolution & Arbitration
7.1 Arbitration Agreement
Users agree to resolve disputes via binding arbitration, except for claims eligible for small claims court. Users waive the right to participate in class-action lawsuits.
7.2 Opt-Out Option
Users may opt out of arbitration within 30 days of first using our Services by submitting a written request to partners@novalearninggroup.org
8. Limitation of Liability
• No Warranty: Our Services are provided "as is" without warranties.
• Liability Cap: Our maximum liability for damages shall not exceed $100 or the amount paid for Services in the past 12 months.
• Exclusions: Some jurisdictions may not allow liability limitations.
9. Termination & Modification of Services
Users may discontinue using the Services at any time. Certain obligations (e.g., confidentiality, dispute resolution) will survive termination.
10. General Terms
• Governing Law: These Terms are governed by the laws of the United States of America.
• Severability: If any provision is found unenforceable, the remaining Terms remain in effect.
• No Waiver: Failure to enforce a right does not waive our ability to do so later.
